Qualification proceedings for the position of Member of the Board in charge of Finance

NOTICE OF THE QUALIFICATION PROCEDURE TO THE POSITION OF THE MANAGEMENT BOARD MEMBER IN CHARGE OF FINANCE

On the basis of §18 (VI) of the Articles of Association of the Company, the Supervisory Board of TORPOL Spółka Akcyjna, with its registered office in Poznań, announces the recruitment procedure for the position of:

Member of the Management Board in charge of Finance of TORPOL Spółka Akcyjna

Candidates for the above position must meet the following conditions jointly:
hold a university degree or higher education obtained abroad and recognized in the Republic of Poland, based on separate regulations,
have at least a 5-year employment period on the basis of an employment contract, appointment, election, nomination, cooperative employment contract, or provision of services under a different contract or a self-employed business activity,
have at least 3 years of experience in managerial or independent positions in a company, or running own business activity,
meet other requirements set out in the law, including the restrictions or prohibitions on holding a position of management board member in commercial companies,
enjoy full public rights and have full legal capacity,
hold no criminal record and show no criminal or penal-fiscal proceedings instituted or pending against them,
have knowledge of the scope of the Company’s operations and the sector in which the Company operates;
have knowledge in the field of management and settlement of long-term construction contracts.

In addition, candidates should:
have knowledge in the issues related to the management and management of teams of employees,
have knowledge of the rules of functioning of commercial companies, public companies and principles of remuneration in companies with the participation of the State Treasury and state legal persons,
have knowledge and experience in the field of accounting, evaluation of investment projects, company finances, audit and financial control of the company and the settlement of long-term contracts,
have knowledge of English to the extent that it provides free communication.

A candidate may not be a person who meets at least one of the following conditions:
acts as a social collaborator or is employed in a deputy, senatorial, deputies and senatorial office or an office of a Member of the European Parliament under a contract of employment or provides work on the basis of a contract of mandate or other agreement of a similar nature,
is part of the body of a political party representing the political party outside and entitled to incur liabilities,
is employed by a political party on the basis of an employment contract or provides work on the basis of a contract of mandate or another agreement of a similar nature,
performs the function of choice in the company’s trade union organization or in the company’s trade union organization from the capital group,
the candidate’s social or commercial activity creates a conflict of interest with respect to the Company’s activities.

To confirm compliance with the requirements referred to in Article 1 and 2, the candidate is required to submit the following documents and declarations with the application:
a document confirming the higher education of the candidate in accordance with Art. 1 (1),
documents confirming at least a 5-year employment period – including employment certificates, business activity certificates or transcripts from the National Court Register or other documents confirming the employment period in accordance with Art. 1 (2),
documents confirming at least 3 years of experience in managerial or independent positions, or running a self-employed business activity, including a certificate of employment or an employment record, a certificate of business activity or transcripts from the National Court Register or other documents confirming the required experience in accordance with Art. 1 (3),
declaration of the candidate on not being subject to legal restrictions and prohibitions from holding a position of member of the management board in commercial companies, including not violating restrictions or prohibitions on the position of a board member in commercial companies in accordance with Art. 1 (4),
the candidate’s statement on the full use of public rights and full legal capacity pursuant to Art. 1 (5),
current certificate of no criminal record and the candidate’s statement on the absence of criminal or penal-fiscal proceedings, instituted or pending, against the candidate in accordance with Art. 1 (6),
documents confirming the additional skills and knowledge referred to
in Art. 1 (7)(8) and in Art. 2 above (e.g. recommendations, references, certificates of completed courses, diplomas of graduation/training, certifications).

In order to confirm compliance with the requirements referred to in Art. 3, the candidate is obliged to present a statement that none of the circumstances mentioned in Art. 3 apply to him/her in the application.

The candidate’s statements referred to in Art. 4 or 5 need to be submitted in the original, while the documents referred to in Art. 4 may be submitted in a photocopy certified to be true by the candidate – in such a situation, the candidate who meets the formal requirements may be asked to present the originals of these documents during the interview.

Notwithstanding the statements and documents referred to in Articles 4-6, the candidate is also required to submit the following in the application:
covering letter (in original), containing a self-signed statement of consent to the processing of personal data for the purposes of the recruitment procedure together with the telephone number and e-mail address in for the contact purposes of the recruitment procedure,
professional CV containing a description of the candidate’s previous experience and achievements in his professional career,
a statement that there are no health contraindications to perform the function for which the candidate applies.

The candidate’s written application together with the required documents and statements should be delivered to the following address: TORPOL S.A., ul. Mogileńska 10G, 61-052 Poznań, in sealed envelopes with a note „Postępowanie kwalifikacyjne na stanowisko Członka Zarządu ds. finansowych TORPOL S.A.”.

The deadline for accepting applications is 31 August 2018 at 15:00 (the date and time of delivery of the application to the Company’s registered office in Poznań at 10G Mogileńska Street are decisive).

Candidates’ applications submitted or delivered after the deadline or applications which do not meet the requirements set out in this notice will not be considered.

Opening of applications should take place within 14 days of the deadline for the receipt of applications. From among candidates meeting the requirements set out in the announcement, the Supervisory Board of TORPOL S.A. will select those candidates who best meet the requirements to perform the function of a board member in charge of finance. These persons will be invited for interviews, which will be held until 28 September 2018 in Warsaw.

Candidates will be notified about the date of the interview by phone or e-mail indicated in the candidate’s application. If the candidate does not appear at the indicated date, time and place for an interview, he/she will resign from participation in the proceedings.

The Company reserves the right to change the abovementioned date of conducting interviews, as well as the right to change the interview date, previously indicated in the invitation to interview – by phone or e-mail indicated in the candidate’s application.

Candidates who have not been admitted to interviews will be notified in writing by the Supervisory Board to the correspondence address indicated in the candidate’s application. In addition, along with the notification, the Supervisory Board will send the documentation submitted by the candidate by registered mail.

The Supervisory Board may use the services of a personnel consulting company during the recruitment procedure.

The subject of the interviews will cover the following issues:
the scope of the Company’s operations and the sector, in which the Company operates,
the management and management of employee teams,
the principles of functioning of commercial companies, capital groups, public companies, and the principles of corporate governance,
the remuneration principles in companies with the State Treasury shareholding,
the limitations of running a business by persons performing public functions,
knowledge and experience in the field of accounting, assessment of investment projects, company finances, auditing and financial control of the company and the settlement of long-term contracts.
Candidates not appointed as the Member of the Management Board in charge of Finance will receive their documentation by registered mail from the Supervisory Board of TORPOL S.A.

The company does not reimburse the candidates for costs related to participation in the qualification procedure.

Supervisory Board of TORPOL S.A. can at any time, without giving reasons, finish the qualifying procedure without selecting the best candidates.

Candidates are not entitled to appeal against decisions taken by the Supervisory Board of TORPOL S.A. during the qualifying procedure.

According to Article 13(1) and (2) of the Regulation of the European Parliament and of the Council (EU) 2016/679 of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free flow of such data and the repeal of Directive 95/46/EC (hereinafter: GDPR), we announce that:
The controller of personal data (hereinafter “CPD”) disclosed by the candidate in the conducted qualification procedure for the position of Member of the Management Board in charge of Finance is the company TORPOL S.A.
Personal data will be processed in order to conduct the recruitment procedure in which the candidate participates and will be processed on the basis of:
6 (1)(b) of GDPR, i.e. indispensability in the context of concluding a contract and pre-contractual activities,
6 (1)(c) of GDPR, i.e. in order to comply with the legal obligation,
6 (1)(f) of GDPR, i.e. a legitimate interest of CPD.
A legitimate interest pursued by CPD is the verification of the reliability of the submitted statements and the enforcement of claims arising from the law;

Providing data is voluntary, but necessary to participate in the qualification procedure;
The recipient of personal data may be:
competent public authorities,
entities providing correspondence,
entities performing documentation destruction services,
entities providing IT services as well as maintenance and technical service of devices used by CPD;
The data will be immediately deleted if the procedure results in a negative result, unless the provisions of generally applicable law require that they continue to be stored;
We inform about the right to:
access your own personal data and request a copy thereof,
correct your personal data,
demand a limitation of the processing of your data,
data transfer,
delete data.
In relation to data processed on the basis of legally justified interests pursued by the controller, the candidate has the right to object to the processing of personal data;

We inform about the right to lodge a complaint to the supervisory body. In Poland, this body is the President of the Office for Personal Data Protection.
