NOTICE OF THE QUALIFICATION PROCEDURE TO THE POSITION OF Vice-President of the Management Board in charge of the Strategy of the Company

NOTICE OF THE QUALIFICATION PROCEDURE TO THE POSITION OF
Vice-President of the Management Board
in charge of the Strategy of the Company

On the basis of §18 (VI) of the Articles of Association of the Company, the Supervisory Board of TORPOL Spółka Akcyjna, with its registered office in Poznań, announces the recruitment procedure for the position of:
1. Vice-President of the Management Board in charge of the Strategy

I. Candidates for the above position must meet the following conditions jointly:

  1. hold a university degree or higher education obtained abroad and recognized in the Republic of Poland, based on separate regulations,
  2. have at least a 5-year employment period on the basis of an employment contract, appointment, election, nomination, cooperative employment contract, or provision of services under a different contract or a self-employed business activity,
  3. have at least 3 years of experience in managerial or independent positions in a company, or running own business activity,
  4. have negotiating skills,
  5. they have experience in managing capital companies,
  6. have experience of leading large teams,
  7. have the ability to work in a team,
  8. have full legal capacity,
  9. enjoy full public rights,
  10. have no criminal convictions, and demonstrate that there are no pending or instituted criminal or fiscal proceedings
  11. hold a non-disqualified or prohibited position as a member of the management board of a commercial law company
  12. will submit a vetting declaration to the relevant authority or will submit information on prior submission of a vetting declaration (concerns candidates born before 1 August 1972), in accordance with the Act of 18 October 2006 on disclosing information on documents of state security bodies from the period between 1944-1990 and the content of such documents.

Additional strengths will be:

  • a level of proficiency in written and spoken English,
  • completion of a post-graduate MBA,
  • experience in the management of entities operating in the railway or tramway sector,
  • knowledge of the market for services provided by the Company in the field of rail or tram infrastructure construction, with particular emphasis on investment programs in the field of rail transport,
  • other competencies corresponding to the scope of duties of the member of the Management Board responsible for strategy and development.

II. A candidate may not be a person who meets at least one of the following conditions:

  1. acts as a social collaborator or is employed in a deputy, senatorial, deputies and senatorial office or an office of a Member of the European Parliament under a contract of employment or provides work on the basis of a contract of mandate or other agreement of a similar nature,
  2. is part of the body of a political party representing the political party outside and entitled to incur liabilities,
  3. is employed by a political party on the basis of an employment contract or provides work on the basis of a contract of mandate or another agreement of a similar nature,
  4. performs the function of choice in the company’s trade union organization or in the company’s trade union organization from the Capital Group of TORPOL S.A. seated in Poznań,
  5. the candidate’s social or commercial activity creates a conflict of interest with respect to the Company’s activities.

III. Written applications of the candidates will be accepted at the registered office of the Company: ul. św. Michała 43, 61-119 Poznań, the secretariat of the Management Board, between 16 August 2023 and 31 August 2023 until 2:00 p.m. excluding Saturdays and Sundays or by mail. The deadline for submission of the application shall be the date of receipt of the application by the Company – the date and time of delivery shall be decisive.

IV. The application should include:

  1. your name and contact details (address, e-mail address, telephone number),
  2. a covering letter concerning, in particular, your experience in the area of strategic document preparation,
  3. a CV,
  4. a university degree: Master’s, Bachelor’s or equivalent,
  5. documents proving the required length of service and professional experience,
  6. a certificate of no criminal convictions, issued not later than 30 days before the submission of the application,
  7. a declaration of full legal capacity,
  8. a declaration of the unlimited right to hold the position of member of the management board in commercial companies and partnerships,
  9. a declaration on the discharge of functions in the bodies of a legal person, if the candidate has held such a function, for all the periods in which the candidate has held such a function,
  10. a declaration that there are no pending criminal or penal proceedings against the candidate,
  11. a statement which reads: “I consent to the processing of my personal data for recruitment purposes in accordance with Article 6(1)(a) of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation)”,
  12. information whether the candidate has made a vetting declaration under Article 7 of the Act of 18 October 2006 on the disclosure of information on documents of the state security bodies from 1944 to 1990 and the content of such documents (i.e. Journal of Laws of 2023, item 342) or an undertaking that she/he is ready to make this declaration (or the information referred to in the Act) prior to her/his appointment to the position of Vice President of the Management Board for Strategy in the event that she/him is selected in the qualification procedure, alternatively information that she/he is not subject to this obligation,
  13. A declaration that none of the circumstances indicated in point II of the Notice apply to the candidate,
  14. documents confirming the fulfilment of other requirements.

V. A written application of a candidate, together with the required documents and statements, should be delivered to the address: TORPOL S.A., ul. św. Michała 43, 61-119 Poznań, in sealed envelopes marked: “Qualification proceedings for the position of Vice President of the Management Board for Strategy, TORPOL S.A. in Poznań. Do not open”. Documents should be submitted in originals or copies. Copies of documents may be certified by the candidate; however, in such a case the candidate shall present the original or an official copy of the document during the interview, under pain of exclusion from further proceedings. Applications which do not meet the above requirements or which are submitted after the deadline for their receipt will not be considered.

VI. Information about the Company can be obtained from the website at: www.torpol.pl.

VII. Applications will be opened on 1 September 2023 at 12.00 p.m. at the registered office of the Company.

VIII. The interviews with the candidates will be held by videoconference, or at a venue designated by the Supervisory Board. Candidates/candidates will be notified of the date and place of the interview by telephone or e-mail at least 2 days before the date.

IX. The following matters will be the focus of the interview:

  1. the candidate’s self-presentation, including a presentation on the planned and Company oriented operations and activities,
  2. knowledge of the scope of the Company’s activities and the sector in which the Company operates, as well as the presentation of the candidate’s predicted/proposed directions of the Company’s development,
  3. knowledge of issues related to the management and leadership of human teams, and of the area of negotiations,
  4. knowledge of the rules governing commercial companies, with particular emphasis on companies with State Treasury shareholding, remuneration principles in companies with State Treasury shareholding, restrictions on conducting business by persons performing public functions, and knowledge of corporate governance principles,
  5. experience necessary to perform the function of a management board member in the Company,
  6. market and competition analysis.

X. The candidate will be required to declare their consent to their appointment to the position of Vice President in charge of the Company’s Strategy if selected by the Company’s Supervisory Board and notified of the outcome of the qualification procedure in which they participated. The Supervisory Board of the Company may terminate the qualification procedure at any time without giving reasons without selecting a candidate.

XI. A statement must be made in the application:

“I consent to the processing of my personal data by TORPOL S.A. with its registered office in Poznań for the purpose of recruitment for the position of Vice President of Strategy. I have been informed of my rights, including that my consent may be revoked at any time.”

XII. Candidates take part in the qualification procedure at their own expense and risk.

GDPR PRIVACY NOTICE
According to Article 13(1) and (2) of the Regulation of the European Parliament and of the Council (EU) 2016/679 of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free flow of such data and the repeal of Directive 95/46/EC (hereinafter: GDPR), we announce that:

  1. The controller of personal data (hereinafter “CPD”) disclosed by the candidate in the conducted qualification procedure for the position of Member of the Management Board in charge of Finance is the company TORPOL S.A.
  2. Personal data will be processed in order to conduct the recruitment procedure in which the candidate participates and will be processed on the basis of:
    a) Art. 6 (1)(b) of GDPR, i.e. indispensability in the context of concluding a contract and pre-contractual activities,
    b) Art. 6 (1)(c) of GDPR, i.e. in order to comply with the legal obligation,
    c) Art. 6 (1)(f) of GDPR, i.e. a legitimate interest of CPD.
    A legitimate interest pursued by CPD is the verification of the reliability of the submitted statements and the enforcement of claims arising from the law;
  3. Providing data is voluntary, but necessary to participate in the qualification procedure;
  4. The recipient of personal data may be:
    a) competent public authorities,
    b) entities providing correspondence,
    c) entities performing documentation destruction services,
    d) entities providing IT services as well as maintenance and technical service of devices used by CPD;
  5. The data will be immediately deleted if the procedure results in a negative result, unless the provisions of generally applicable law require that they continue to be stored;
  6. We inform about the right to:
    a) access your own personal data and request a copy thereof,
    b) correct your personal data,
    c) demand a limitation of the processing of your data,
    d) data transfer,
    e) delete data.
    In relation to data processed on the basis of legally justified interests pursued by the controller, the candidate has the right to object to the processing of personal data;
  7. We inform about the right to lodge a complaint to the supervisory body. In Poland, this body is the President of the Office for Personal Data Protection.
